
HUMAN RESOURCES ASSOCIATION OF NORTHEAST TENNESSEE
CONSTITUTION AND BY-LAWS
The name of this organization shall be the Human Resources Association of Northeast Tennessee. The objective of the Association shall be the discussion, research and exchange of ideas pertaining to human resource management in business and industry.
Membership shall be limited to those individuals having a legitimate professional interest in the field of human resource administration. Members in the organization are not to use the organization or its programming as a way to increase business sales or revenue of their organization.
The President of the organization shall be responsible for informing new members of their approved membership and explain the objectives of the organization. Applications for membership outside of Human Resources profession shall be considered on an individual case basis.
The representative shall be the person or persons most directly responsible for handling the human resource function of the organization. In the event such member finds it necessary to be absent from a meeting, a qualified associated connected with human resource responsibilities may attend for the member.
All candidates are approved for membership by the Board of Directors and must receive unanimous approval of Association members present as an Association meeting.
Membership in the Association is owned by the company responsible for paying the membership dues. Should the member pay his or her own dues, membership will be owned by the member. In the event an employee resigns, the company may transfer membership dues to the newly hired human resources representative, consistent with election of all members.
The Association shall meet once each month. The time and date will be set by the Board of Directors. Special meetings may be called at the discretion of the President. During holiday or vacation seasons, the Board of Directors may elect to postpone, pass or alter the regular monthly meeting.
The fiscal year shall begin on July 1 and end on the last day of June of each year.
The dues of the Association shall be fixed by the Board of Directors at the beginning of each fiscal year. Dues are to be paid at the beginning of each fiscal year. Notices will be sent to members, and any member who has not paid their dues by the deadline of August 31st will be removed from the membership roster and will be required to apply for reinstatement. New members who join the Association after the beginning of the fiscal year will be assessed a proportionate amount for dues. Members may bring guests to the meeting and their organization will be assessed the cost per meal. The business will be billed at the end of the month. Assessments may be made, when necessary, and set by the Board of Directors.
Officers will be elected for a period of one year. A member may serve a maximum of two (2) consecutive terms in the same office. The officers shall consist of President, Vice President, Treasurer, Secretary, or a minimum of one Communications Coordinator, two Program Coordinators and two Wage and Benefit Survey Coordinators. These officers will constitute the Board of Directors. Elections will be held at the May meeting. Transition of officers will take place during July. The new officers will be in place and preside at the August meeting.
The President shall serve as the Chief Officer of the Association and Chairman of the Board of Directors. The President will preside at all meetings.
The Vice President shall serve in the absence of the President. The Vice President may be come the President the next term of office. The position will be slated and voted on by the membership. This individual will serve as the Chair of the Nominating Committee.
The Treasurer shall collect dues, handle all financial matters, and assist the Secretary in preparing the membership roster.
The Secretary shall record minutes of the meetings of the Board of Directors, the monthly meetings, and any special called meetings. The Secretary shall make arrangements for the meeting place, distribute meeting notices to all members, and assist the Treasurer in preparing the membership roster. These duties are to be carried out by the Secretary, or, if a Recording Secretary and Corresponding Secretary are deemed necessary by the Board of Directors, the duties will be shared between the two incumbents.
The Communications Coordinator shall serve as liaison for the Association and new businesses in the area. The Communications Coordinator will inform members of activities in the Johnson City Area. The Communications Coordinator is also responsible for informing the Association of any legislative changes or other issues that are pertinent to the Association.
Program Coordinators
The Program Coordinators shall plan the programs for each monthly meeting. This will include the program for all social functions.
The Wage and Benefit Coordinators shall be responsible for the annual Wage and Benefit Survey to all member of the Association.
Any committees as are deemed necessary will be appointed by the President each year. These committees may include the Nominating Committee, Auditing Committee, Membership Committee, Scholarship Committee and Conference Committee. The committees shall meet and conduct business and make reports to the membership on the program for necessary business. Once the business is completed, the committee will not be required to continue to meet or provide reports to the membership.
Amendments and/or Bylaws may be affixed to this Constitution at any time by a three-fourths majority vote of Association members present at a meeting.
